Terms of Use

Credent Partners USA LLC

Effective Date: 24 September 2026  ·  Last Updated: 24 September 2026

Please read these Terms carefully. They govern your use of credentpartners.com. By using the Site you agree to them. They include important limitations on our liability (Sections 12 and 13), a disclaimer of warranties (Section 11), and your agreement that Florida law governs and that disputes are heard in the state or federal courts of Miami-Dade County, Florida (Section 16).

1. Agreement to These Terms

These Terms of Use (the “Terms“) are a binding agreement between you and Credent Partners USA LLC (“Credent Partners,” “we,” “us,” or “our“) governing your access to and use of the website at credentpartners.com, including all content, materials, and features made available on it (collectively, the “Site“).

By accessing or using the Site, you accept these Terms. If you do not agree to them, do not use the Site. If you are using the Site on behalf of an organization, you represent that you have authority to bind that organization, and “you” refers to both you and that organization.

2. Who May Use the Site

The Site is a corporate information website intended for business users aged 18 or over who are acting in a professional capacity — principally clinical trial sponsors, contract research organizations, research sites, and other prospective business partners and service providers. The Site is not intended for use by children, and it is not a channel for patients, study applicants, or members of the public seeking to take part in a clinical study.

The Site is controlled and operated from the United States. We make no representation that the Site or its content is appropriate or available for use in any particular location. If you access the Site from elsewhere, you do so on your own initiative and are responsible for compliance with local law.

3. Permitted Use and Licence

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and view the Site and to print or download individual pages for your own internal business reference. This licence does not transfer any ownership rights, and all rights not expressly granted are reserved.

4. Prohibited Conduct

You agree not to:

  • use the Site for any unlawful, fraudulent, deceptive, or harmful purpose, or in violation of any applicable law or regulation;
  • copy, reproduce, republish, distribute, sell, licence, or create derivative works from the Site or its content, except as expressly permitted in Section 3 or with our prior written consent;
  • use any robot, spider, scraper, crawler, or other automated means to access, harvest, or index the Site or its content, or to collect information about other users, except that well-behaved search-engine crawlers may index the Site in accordance with our robots.txt file;
  • use the Site or any contact details published on it to send unsolicited commercial communications, or to compile marketing, recruitment, or prospect lists;
  • attempt to gain unauthorized access to the Site, our servers, or any connected system or network; probe, scan, or test the vulnerability of any system; or circumvent any security, authentication, or rate-limiting measure;
  • introduce any virus, malware, or other harmful code, or take any action that imposes an unreasonable or disproportionate load on our infrastructure;
  • frame, mirror, or deep-link the Site in a way that misrepresents your relationship with us, or remove, obscure, or alter any copyright, trademark, or other proprietary notice;
  • use the Site to transmit personal health information, patient or study subject data, or any other sensitive, regulated, or confidential personal information; or
  • impersonate any person or entity, or misrepresent your affiliation with any person or entity.

We may investigate and take any action we consider appropriate in response to suspected violations, including restricting or blocking access and reporting the matter to law enforcement.

5. Inquiry Form Submissions

The Site invites contact through an inquiry form. By submitting an enquiry, you agree that:

  • Your submission is not confidential. Unless we have signed a written non-disclosure or other agreement with you that covers the submission, information you send through the Site is not treated as confidential, and submitting it creates no obligation of confidentiality on our part and no fiduciary, advisory, or client relationship.
  • Do not send sensitive or regulated data. The form is for business contact details and a description of your enquiry only. Do not use it to send personal health information, patient or subject data, trade secrets, or any other confidential or regulated information. If you need to share such material with us, contact us first so that we can agree a secure channel and the appropriate written agreements.
  • Your information is accurate and yours to give. You will provide accurate, current, and complete information, and you have the right to provide any information about third parties that you include.
  • Unsolicited ideas. We do not accept unsolicited ideas, proposals, or materials for new services or business concepts. If you send them anyway, you grant us a non-exclusive, worldwide, royalty-free, perpetual, irrevocable licence to use, reproduce, modify, and disclose them for any purpose without obligation or compensation to you, and you waive any claim that our use of similar material infringes your rights.
  • No commitment. Submitting an enquiry, and our response to it, does not create any contract or obligation to provide services. Any engagement will be governed by a separate written agreement signed by both parties.

How we handle information submitted through the Site is described in our Privacy Policy.

6. No Professional, Medical, or Investment Advice

Content on the Site is provided for general information about Credent Partners and its services. It is not medical, clinical, regulatory, legal, tax, accounting, or investment advice, and it must not be relied on as a substitute for professional advice appropriate to your circumstances.

Nothing on the Site is a recommendation to take part in, conduct, or sponsor any clinical study, and nothing on the Site describes or advertises any specific study to potential participants. Credent Partners is not a healthcare provider and does not provide medical care, diagnosis, or treatment. If you have a medical concern, consult a qualified healthcare professional. If you have a medical emergency, call your local emergency number.

Nothing on the Site constitutes an offer to sell or a solicitation of an offer to buy any security, or an offer of services in any jurisdiction where such an offer would be unlawful.

7. Intellectual Property

The Site and all of its content — including text, graphics, logos, images, icons, page layouts, design elements, software, and the selection and arrangement of the foregoing — are owned by Credent Partners or its licensors and are protected by United States and international copyright, trademark, trade dress, and other intellectual property laws.

“Credent Partners,” “Medtack,” and our logos and product names are trademarks or service marks of Credent Partners USA LLC. You may not use them without our prior written permission. All other trademarks, service marks, and trade names appearing on the Site are the property of their respective owners, and their appearance does not imply any endorsement of, or affiliation with, Credent Partners.

8. Third-Party Content and Links

The Site may contain links to, or content from, websites and services operated by third parties. We provide those links for convenience only. We do not control, endorse, or assume responsibility for any third-party website, its content, its products or services, or its privacy or security practices. Your dealings with any third party are solely between you and that third party.

9. Accuracy and Availability

We aim to keep the Site accurate and current, but content may become out of date, and may contain errors, omissions, or typographical mistakes. We may change, correct, suspend, or remove any part of the Site, and may discontinue the Site entirely, at any time and without notice or liability. We do not undertake to update any information on the Site.

Any statement on the Site about future plans, capabilities, or results is forward-looking and subject to change; it is not a promise or a guarantee of any outcome.

10. Privacy

Our collection and use of information in connection with the Site is described in our Privacy Policy, which is incorporated into these Terms by reference. Information collected from individuals responding to clinical study advertising through our Medtack patient recruitment platform is governed by the separate Medtack privacy policy, not by these Terms.

11. Disclaimer of Warranties

THE SITE AND ALL CONTENT ON IT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, CREDENT PARTNERS DISCLAIMS ALL WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SITE OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. YOU USE THE SITE AT YOUR OWN RISK.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, CREDENT PARTNERS AND ITS OFFICERS, MEMBERS, MANAGERS, EMPLOYEES, AGENTS, AFFILIATES, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, OR ANTICIPATED SAVINGS, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SITE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100).

These limitations do not apply to liability that cannot be excluded or limited under applicable law, and some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so some of the above may not apply to you.

13. Indemnification

You agree to indemnify, defend, and hold harmless Credent Partners and its officers, members, managers, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to your use of the Site, your submissions through it, your violation of these Terms, or your violation of any law or the rights of any third party. We reserve the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with our defense.

14. Suspension and Termination

We may restrict, suspend, or terminate your access to the Site at any time, for any reason, without notice or liability. The provisions of these Terms that by their nature should survive termination — including Sections 5, 7, and 11 through 18 — will survive.

15. Electronic Communications

When you use the Site or send us an enquiry, you are communicating with us electronically, and you consent to receive communications from us electronically. You agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing.

16. Governing Law and Venue

These Terms and any dispute arising out of or relating to them or to the Site are governed by the laws of the State of Florida, United States, without regard to its conflict of laws principles, and excluding the United Nations Convention on Contracts for the International Sale of Goods.

You and Credent Partners agree that any action or proceeding arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in Miami-Dade County, Florida, and you consent to the personal jurisdiction of those courts and waive any objection to venue or to an inconvenient forum.

Any claim relating to the Site must be brought within one (1) year after the claim arose, or it is permanently barred, to the extent permitted by applicable law.

17. Changes to These Terms

We may revise these Terms at any time by posting an updated version on the Site and changing the “Last Updated” date. Changes take effect when posted. Your continued use of the Site after that date constitutes acceptance of the revised Terms. Please review them periodically.

18. General

  • Entire agreement. These Terms, together with the Privacy Policy, are the entire agreement between you and Credent Partners regarding the Site, and supersede any prior understanding on that subject. They do not supersede any separate signed agreement between us, which controls to the extent of any conflict in relation to its subject matter.
  • Severability. If any provision is held unenforceable, it will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in full force.
  • No waiver. Our failure to enforce any provision is not a waiver of it.
  • Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign them freely, including in connection with a merger, acquisition, or sale of assets.
  • No third-party beneficiaries. These Terms confer no rights on any third party.
  • Relationship. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and Credent Partners.
  • Force majeure. We are not liable for any failure or delay caused by circumstances beyond our reasonable control.
  • Export and sanctions compliance. You represent that you are not located in, or a national or resident of, any country subject to United States embargo, and that you are not on any United States government list of prohibited or restricted parties.
  • Headings. Section headings are for convenience only and do not affect interpretation.
